Juristic Person Online Registration Information and Documents (e-Registration), limited liability company merger – Amendment to Memorandum of Association after establishing a limited company

       The registration of a partnership or a company through the electronic juristic person registration system (e-Registration) helps streamline the business sector’s operations; the regulations of the Central Registration Office of the partnership have detailed information and documents for registration according to different types of registration.


Limited company merger type uses the following information and documents for e-Registration:

  1. Company registration form;
  2. Memorandum of Association 5 (copy of the company's shareholder account) of the newly set-up company as a merger;
  3. Application form for juristic person's name in a foreign language (in case of using a foreign language that is not English);
  4. Approval from the Office of the Insurance Commission (used only for company mergers that have no purpose in the insurance brokerage business, but new companies have an objective in the insurance brokerage business);
  5. A copy of the Company's Articles of Association, as applicable, and a stamp payment of 200 baht (if any);
  6. Forms of Congress 1 (business statement);
  7. A map showing the location of the main office and nearby landmarks (only used if the location of the main office is not the original location of the company merger);
  8. Certificate of Electronic Corporate Registration Form (e-Registration) through a representative (only for registration through a representative).


Amendment to Memorandum of Association type after establishing a limited company uses the following information and documents for e-Registration:

  1. Company registration form;
  2. Application form for juristic person's name in a foreign language (in case of using a foreign language not English);
  3. Memorandum of Association Amendment, stamp payment of 50 baht;
  4. Forms of Congress 1 (used only if amended for the purpose for which it was intended);
  5. Approval from the Office of the Insurance Commission (only for the company that wants to increase the business insurance);
  6. Certificate of Electronic Corporate Registration Form (e-Registration) through a representative (only for registration through a representative).
