Information and documents for the registration of juristic person online (e-Registration): Type of partnership establishment

      Registering a partnership or a company through the electronic juristic person registration system (e-Registration) helps streamline operations in the business sector. The regulations of the Central Registration Office of the partnership have detailed information and documents for registration for different types of registration.

Establishing a limited partnership requires information and documents for the registration of legal entities online, as follows:

  1. Partnership registration form;
  2. Application form for juristic person's name in a foreign language (in case of using a foreign language other than English);
  3. Forms of Congress (business statement);
  4. A map showing the location of the main office and nearby landmarks in the district;
  5. Receipt of payment for shares the partnership has issued to each partner;
  6. In the case of an alien registering shares in a partnership not exceeding 50 percent of the registered capital of all partners, the applicant shall submit evidence issued by their bank to certify or present the financial status of all partners with Thai nationality. Such a document must show the amount corresponding to the amount paid to each partner's registered capital;
  7. In the case of an establishment with the total shareholding of all partners exceeding 5 million baht, the following additional documents must be submitted:

7.1 In the case of cash payment, submit documents issued by the bank to certify or show that one of the managing partners has received payment for the shares in the amount already paid with the request for incorporation.

Once the registrar has registered, submit the documents issued by the bank to certify or show that the partnership has received the shares collected by the managing partner within 15 days from the date the registrar has registered;

7.2 In the case of property payment, the confirmation letter of the property owner will be transferred to the partnership or a letter confirming that the partnership will use the property with the registration.

Once the registrar has registered, submit the following documents within 90 days from the date the registrar has registered:

(a) Property of real estate or property registered to show that the partnership is the owner of the property;

(b) Other types of assets will be submitted in an account showing the details and value of the assets that have been invested;

(c) Property brought by the partner to the partnership for use instead of shares; the contract will be delivered for the property use;

      8. Certificate of Electronic Corporate Registration Form (e-Registration) by a representative (only for registration through a representative).
