Information and documents for online registration (e-Registration) of a limited company 

      Registering a partnership or a company through the electronic juristic person registration system (e-Registration) helps streamline the work of the business sector. The regulations of the Central Registration Office of the partnership have detailed information and documents for registration, according to different types of registration. 

A limited company can be established by submitting the following information and documents for e-Registration:

  1. Company registration dorm;
  2. Memorandum of Association 5 (copy of the company's shareholder's list);
  3. Notice of the meeting of the company's establishment;
  4. Minutes of the company's meeting;
  5. Regulations and stamp duty fee of 200 baht (if any);
  6. Receipt of payment for shares issued by the company to each shareholder;
  7. In the case of an alien holding less than 50% of the registered capital, or in the case of no alien being a shareholder, but an alien is an authorized director, the company must submit evidence issued by its bank to certify or present the financial position of every shareholder who has Thai nationality. Such evidence shall show the amount corresponding to the amount paid for each shareholder's share purchase;
  8. Sor Sor Chor 1 form (business statement);
  9. A map showing the location of the main office and nearby landmarks in the district;
  10. Approval of the establishment of a company to conduct business from the relevant agencies (use only companies that do business or use the name of a juristic person that has special laws governing it);
  11. In the case of the establishment of a registered capital of more than 5 million baht, the following additional documents must be submitted:

11.1 In the case of payment by cash, submit the documents and evidence issued by the bank to certify or show that any director who has the authority to sign their name has been paid for shares in the amount already settled with the request for establishment.

Once the registrar has registered the capital, the bank's documents must be submitted to certify or show that the company has received the money for the shares collected by the directors within 15 days from the date the registrar registers the capital.

 11.2 In the case of payment of property, the confirmation letter of the owner of the property that the ownership of the property will be transferred to the company with registration shall be sent.

Once the registrar has registered the capital, submit the following documents within 90 days from the date the registrar has registered the capital.

(a) Property or registered property has been submitted to show that the Company owns the property;

(b) Other types of assets have been submitted in an account showing the details and value of the assets that have been invested.

     12. Certificate of Electronic Corporate Registration Form (e-Registration) through a representative (Only for registration through a representative).
